As the name suggests, the Book is a complete guide to Company Management, Meetings And Resolutions. Divided into 9 chapters the books deliberates on all the aspects of meetings viz. conducting a meeting, passing of resolution, notice of meeting, quorum, proxies, poll, etc.
Chapter 1 deals with management and administration of the company. Chapter 2 deals with preparation and filing of annual returns in respect of matters specified u/s 92 of the Act. Chapter 3 discusses the general principles of management and administration, including the doctrine of indoor management. Chapter 4 inter covers holding of AGM, calling of extraordinary general meeting (EOGM), holding and conduct of meeting in accordance with rules framed under the Companies (Management and Administration) Rules, 2014 and the Secretarial Standard on General Meeting (SS-2) as approved by the Central Government, etc. Chapter 5 deals with Notice of the meeting, its service, mode of service, contents. Section 6 explains provisions relating to quorum, proxies, adjournment, poll, voting rights and procedure, passing resolution by postal ballot., etc. Chapter 7 deals with company resolution as passed by a properly convened meeting of the company fulfilling quorum requirement. Chapter 8 throws light on procedures for calling and conduct of the board meeting and finally Chapter 9 deals with minutes of the proceedings of general meeting, meeting of board of directors and meeting of resolutions passed by postal ballots.
